Terms of service and API terms
Last updated: 17 October 2026.
These terms govern SourceKeel, a service of Scydex Ltd, at 320 City Road, London, England, EC1V 2NZ. Contact [email protected] for legal notices. These terms include the data and disclaimer terms below and the refund policy. The privacy policy explains personal data processing. It does not replace these terms.
Accounts and agent accounts
You must be 18 or over and able to enter a contract. If you act for an organization, you must have authority to bind it. "You" then includes that organization. By creating an account or using authenticated services, you agree to these terms.
Use an email address that you control. Keep account and billing details accurate. An agent can use a dedicated inbox, including an AgentMail-style inbox, for an authorized operator. The person or organization operating the agent remains responsible for its account, requests, purchases, and integrations. An automated sign-up does not make the software a separate contracting person.
Agents can sign up, get keys, and act for an account. An account can have up to 10 agents, and each agent can hold up to 10 keys. We can change these limits. You are responsible for what your agents do with your account. Some changes an agent cannot make alone, such as raising its own key's monthly cap or turning on overage. The agent asks, and a person signed in to the account in a browser decides after confirming a fresh code from email.
Protect inbox access, session tokens, and API keys. Give credentials only to authorized people and integrations acting for your account. Revoke or rotate a credential if it is exposed. Every account gets one sandbox key, which reaches sample data only. You can give any other key an optional monthly credit cap and an expiry date. A browser session ends after 7 days without use or 30 days after sign-in. You can see where you are signed in and sign out everywhere from the console. A checkout, a billing portal visit, an overage change, a key limit change, an approval, and an account export or deletion each need a fresh code from your email. Do not sell account access or lend credentials to unrelated customers. Give your users access through your integration. Do not give them your SourceKeel key.
Service scope
SourceKeel provides neutral primary information from SEC EDGAR public filings and permitted public sources. It supplies data, source documents, and provenance through supported interfaces. It does not provide investment advice, ratings, price targets, sentiment scores, or recommendations to trade. The published API documentation describes available endpoints, versions, coverage, and limits. Sandbox access is for development and testing within its stated scope. Every paid plan includes every supported dataset, geography, endpoint, and history. There are no premium tiers or paid data add-ons. Commercial use, building customer-facing products, and resale are allowed wherever the upstream source's licence allows, subject to the data terms below.
Acceptable use and limits
You must:
- Use the service lawfully and respect source rights.
- Follow the published rate, burst, account, and sandbox limits.
- Use documented interfaces for automated requests, including agents and MCP clients.
- Respect
Retry-Afterinstructions and avoid retries that overload the service. - Keep your own integration secure and give users accurate source context.
You must not:
- Bypass authentication, payment, request limits, or access restrictions.
- Create multiple accounts or rotate keys to evade an account limit.
- Attack systems, seek another customer's data, or introduce malicious code.
- Use the service for fraud, unlawful market manipulation, or deceptive source claims.
- Strip provenance to imply that the SEC or SourceKeel endorses your conclusions.
- Resell SourceKeel credentials or redistribute source material beyond the rights its upstream licence allows.
Normal API automation and agent use are permitted. Heavy use within the published capacity, rate, and burst limits is welcome. Payment does not bypass request limits or guarantee unlimited use. We can limit or suspend traffic that breaches these terms or threatens service availability. We explain the reason and recovery steps where feasible without compromising security or legal duties. Contact support to dispute a restriction.
Credits and prices
Sandbox access is free and limited to AMPX. Paid plans are Starter at $10/month, Build at $50/month, Ship at $100/month, and Scale at $300/month in US dollars, before applicable taxes.
The current pricing page and checkout show the selected price, credits, limits, and billing period.
Each successful API data response costs 1 credit.
An HTTP 200 or 206 response costs 1 credit, including a successful empty page.
Each page is a separate response. An expansion within that response costs no extra credits.
Errors are never charged. HTTP 4xx or 5xx errors and 304 Not Modified responses cost 0 credits.
Requests that return 304 still count toward the account's request rate and burst limits.
Account administration, public website pages, and sign-in are not API data credit purchases.
Credits measure service capacity. They are not money, stored-value currency, or an investment. They cannot be transferred between unrelated accounts or redeemed for cash except through an approved refund or a legal right. When included credits run out, requests stop unless an available, authorized overage setting permits more usage. Overage is off by default. When authorized, it is charged pro rata for the extra credits actually used, subject to your selected spend limit. The rates are $10 per 25K credits on Starter, $1.75 per 100K on Build and Ship, and $30 per 10M on Scale. We do not enable overage just because an agent can make payments.
Billing, renewal, and expiry
Stripe processes payments. For a recurring plan, checkout states the billing interval. It renews until canceled through the billing portal or support. Cancellation stops future renewal. The billing portal shows the date a cancellation takes effect, and paid access runs until that date. If a renewal payment fails, we email you a notice from SourceKeel. On a recurring plan, included credits are counted by UTC calendar month and reset at 00:00 UTC on the 1st. Unused included credits do not roll over to the next month.
An available machine-payment purchase is a separate fixed-term purchase through Stripe. The purchase response states its price, start time, expiry time, and whether it recurs. The current fixed-term flow does not renew automatically. Its default term is 30 days. At expiry, paid access ends unless another authorized purchase or plan provides it. Unused capacity expires with its allowance period or fixed term as stated at purchase. Review the returned terms before authorizing payment. Do not assume a fixed term uses the same reset date as recurring billing.
An agent must have authorization to use its payment method and a suitable spending limit. Use the same idempotency key when retrying the same purchase. Verify the receipt before starting a second purchase. Machine payment availability depends on the supported method and account eligibility. SourceKeel does not accept every wallet, rail, country, or agent platform.
The refund policy covers billing errors, failed activation, unused capacity requests, and mandatory rights. Closing an account does not itself refund a payment. Contact support if a receipt, balance, or cancellation is wrong.
Changes and account closure
We can change the service and publish new API versions. For planned breaking changes, we publish the support period and notices in the API documentation. We email you at least 30 days before a price increase, or a change to these terms that reduces your rights, takes effect. A price change applies from your next billing period after that notice. If you do not accept a change, you can cancel before it applies. Changes do not remove mandatory rights for an existing purchase.
You can delete your account in the console, or ask for account closure through support. We can suspend or close an account for material misuse, unpaid charges, security threats, or legal requirements. Where feasible, we give notice and a chance to resolve the issue. If we stop a prepaid service without your breach, we refund the unused part of the period you paid for. Terms about payment obligations, source rights, liability, and disputes continue where their purpose requires it.
Ownership and feedback
Scydex Ltd owns its software, service design, and branding. Public source material remains subject to the rights that apply to that material. These terms do not transfer ownership of our software or grant rights that a source has not permitted. We can use suggestions you voluntarily provide to improve the service without compensation. Do not submit confidential information as feedback unless we have agreed to receive it.
Liability
The service and data are provided "as is" and "as available", subject to rights the law does not let us exclude. We do not warrant completeness, accuracy, uninterrupted service, or fitness for a particular purpose. The data terms below explain provenance and missing information.
To the extent the law permits, Scydex Ltd is not liable for indirect losses, lost profits, lost data, or investment losses. For claims covered by a lawful limitation, total liability is limited to £100. This does not limit liability for fraud, gross negligence, intentional misconduct, or death or personal injury caused by negligence. It does not exclude any other liability or consumer remedy that the law protects.
Governing law and disputes
England and Wales law governs these terms and related non-contractual claims, subject to mandatory protections that apply to you. Send a dispute notice to [email protected] or the Scydex Ltd address above. The parties first seek an informal resolution for 30 days after receipt.
Subject to mandatory law and the exceptions below, unresolved disputes proceed under the London Court of International Arbitration rules. The seat is London, United Kingdom. The language is English. The award is binding and can be enforced by a court with jurisdiction. Eligible small claims and claims exclusively about intellectual property can proceed in a competent court. Scydex Ltd can seek court relief to protect confidential information or intellectual property.
You can opt out of arbitration within 30 days after first accepting these terms. Email the legal address with your name, mailing address, account email, and a clear opt-out statement. If you opt out, a court with jurisdiction hears the dispute under the governing law above. These terms do not remove mandatory consumer court rights or protections in your home country.
Contact and agreement
Contact [email protected] for service or billing help. Contact [email protected] for formal notices. If a clause is invalid, the remaining clauses continue to the extent permitted by law. These terms and any applicable signed agreement govern the service. A signed agreement controls where it expressly changes these terms.
Data and disclaimer terms
These terms form part of the SourceKeel terms of service.
Information and independent decisions
SourceKeel provides information, not investment, financial, legal, or tax advice. It does not provide ratings, price targets, sentiment, or recommendations to buy, sell, or hold a security. Neutral news records describe primary information and identify the source. They do not predict outcomes or endorse an issuer. You are responsible for your decisions and for how your product presents or uses the information. Check the source and seek qualified professional advice when needed.
Provenance and SEC attribution
SourceKeel obtains SEC EDGAR public filings and information from permitted public sources. Provenance identifies the source filing or document and the evidence that supports a value where available. Preserve available source identifiers, dates, links, units, qualifications, and coverage status when presenting a result.
For SEC records, identify the source as "U.S. Securities and Exchange Commission, EDGAR" and retain the original source link where available. The filer supplies the filing's assertions. Source attribution does not mean that the SEC verified them. SourceKeel is independent of the SEC. The SEC does not sponsor or endorse SourceKeel or a customer's product.
Coverage and missing information
Data is provided "as is" and "as available", subject to mandatory legal rights. We do not warrant completeness, accuracy, timeliness, or suitability for a particular decision. Sources can contain errors, change, disappear, or publish an amendment after our last processing time. Processing can also contain errors or gaps. Provenance helps you check an answer. It does not guarantee the answer is correct.
Read the response's coverage, reasons, dates, and needs before using a value. A need identifies information or evidence that is not available, not yet processed, not assessed, or insufficient for the requested answer. An unavailable or null value must not be presented as zero, a proved absence, or a complete answer. An empty successful page does not by itself prove that the source contains no relevant records. Preserve uncertainty and conflicts in downstream displays and agent outputs. Consult the documentation for the exact status and reason supplied by an endpoint.
Use and redistribution
Every paid plan permits internal analysis, commercial use, building customer-facing products, and resale wherever the upstream source's licence allows. You can cache responses, present results in your product, and redistribute or resell data to the extent the applicable source licence permits, subject to these terms. You can also use responses with AI models, to produce answers or to train or fine-tune a model, to the extent the source licence permits. When you show SourceKeel data to others, keep the source attribution described above. Preserve provenance and material qualifications. Do not represent a derived conclusion as a source assertion. An MCP client or Zapier integration uses your account's capacity and the same source restrictions.
Our API access terms do not remove rights you have to obtain and reuse public material directly from its source. The SEC describes its website dissemination policy in its privacy information. Other permitted public sources can have different licenses and restrictions. Public availability does not automatically authorize every form of reuse.
You must not redistribute third-party material beyond the rights that apply to it. Do not resell SourceKeel credentials or give your SourceKeel key to your customers. SourceKeel does not require a separate resale permission where the upstream source's licence permits the use. Contact [email protected] if the applicable source rights are unclear or your use requires a broader source licence. The API does not currently return a license or redistribution flag. Do not infer unrestricted rights from its absence.
